≫The Law on Defects in Resolutions under German Limited Liability Company Law Following the MoPeG. Considerations de lege lata et ferenda≪: In light of the newly created Sections 110 et seq. of the German Commercial Code (HGB), the question arises for limited liability companies (GmbHs) as to whether this set of regulations should be used in future instead of stock corporation law to regulate the contestability of shareholder resolutions. This thesis examines how a coherent set of rules governing defective resolutions can be developed, taking into account developments in partnership law, stock corporation law and general law, and provides practitioners with guidance on how to deal with disputes over defective resolutions in a legally compliant manner.
