≫The Delegation by the Executive Board of a Stock Corporation≪ The executive board of a stock corporation is in a conflicting situation: it is obliged to manage the company. At the same time, the executive board is absolutely dependent on the delegation of tasks. The prevailing opinion solves this situation by distinguishing between tasks pursuant to Paragr. 76 (1) and those pursuant to Paragr. 77 AktG. The thesis examines this concept critically in terms of methodology and defines new requirements for delegation.
