解説
In addition to the communication between the executive board and selected shareholders, corporate governance also requires a confidential investor dialogue between shareholders and the supervisory board as well as its chairman. While the competency of the executive board for communication measures derives from its management powers, the supervisory board has this competence based on an annex to its own responsibilities. The chairman is the appropriate body within the supervisory board for conducting such communication. However, limits result from the distribution of powers between bodies, principles of corporate and capital market law and the maintenance of a consistent performance.
